END USER LICENSE AGREEMENT (EULA)

IMPORTANT – READ CAREFULLY

This End-User License Agreement (“EULA”) is a legal agreement between you (either an individual or a single entity) and M/s StrSof Software Solutions, a firm registered in India with its principal place of business at Hyderabad, Telangana, India (hereinafter referred to as “StrSof”, “Licensor”, “we”, or “us”).

This EULA governs your use of the Spreadsheets / Workbooks / Design Templates / Design Applications / Calculation Templates / Demo Videos that accompany this EULA (collectively referred to as the “Software”).

BY DOWNLOADING, INSTALLING, COPYING, ACCESSING, OR OTHERWISE USING THE SOFTWARE, YOU AGREE TO BE BOUND BY THE TERMS OF THIS EULA. Your acceptance of all the terms and conditions of this EULA is a condition to the grant of the Software license by StrSof.

This EULA, as may be modified by any applicable signed written agreement between you and StrSof, represents the entire agreement governing your use of the Software and supersedes all prior or contemporaneous oral or written communications, proposals, representations, or understandings relating to the Software.

If this EULA is translated into a language other than English and a conflict arises, the English version shall prevail. You are advised to retain a copy of this EULA for your records. StrSof reserves the right to update or amend this EULA from time to time; however, the version of the EULA in effect at the time you acquire the Software shall govern your use.

1. LICENSE GRANT & OWNERSHIP

The Software is licensed, not sold. This EULA grants you no ownership rights in the Software.

Subject to your compliance with this EULA, StrSof grants you a non-exclusive, non-transferable, non-sublicensable, revocable license to use the Software strictly in accordance with this EULA.

Unless expressly permitted in writing by StrSof, the Software is licensed solely for the internal engineering and professional use of the licensee and shall not be used for resale, distribution, or third-party commercial exploitation.

All rights not expressly granted under this EULA are reserved by StrSof.

2. RESTRICTIONS

You shall not, and shall not permit any third party to:

  • Copy, reproduce, distribute, or publish the Software or any portion thereof;
  • Rent, lease, lend, sell, sublicense, assign, or transfer the Software;
  • Modify, adapt, translate, enhance, or create derivative works based on the Software;
  • Reverse engineer, decompile, disassemble, or attempt to derive the source logic of the Software;
  • Circumvent or disable any license control, security, or protection mechanisms;
  • Use the Software in violation of any applicable law or regulation.

3. PROFESSIONAL RESPONSIBILITY & LIMITATION OF USE

The Software is intended to assist qualified engineering professionals. It does not replace independent professional judgment, detailed project-specific analysis, or statutory review.

You acknowledge that:

  • The accuracy and suitability of outputs depend on correct inputs and assumptions;
  • The Software must be independently checked and validated before application;
  • You assume full responsibility for the use of the Software and for any conclusions, designs, or decisions derived therefrom.

4. DISCLAIMER OF WARRANTIES

To the fullest extent permitted under applicable law, the Software is provided on an “AS IS” and “AS AVAILABLE” basis.

StrSof expressly disclaims all warranties, whether express, implied, statutory, or otherwise, including but not limited to:

  • Accuracy, completeness, correctness, reliability, or suitability for a particular purpose;
  • Non-infringement, merchantability, or fitness for a specific use;
  • Uninterrupted or error-free operation;
  • Freedom from viruses or harmful components.

You assume all risks associated with installation, use, and results obtained from the Software.

5. LIMITATION OF LIABILITY

To the maximum extent permitted by applicable law:

  • StrSof shall not be liable for any indirect, incidental, special, consequential, or punitive damages, including loss of profits, loss of data, loss of goodwill, or business interruption, arising out of or related to the use or inability to use the Software;
  • StrSof’s total cumulative liability for any and all claims arising under this EULA shall not exceed the actual license fee paid by you for the Software.

6. LICENSE TYPES, TERM & SUBSCRIPTION

6.1 License Duration

The Software is licensed for a fixed term as selected and paid for by you at the time of purchase. Available license durations include:

  • 3-month license
  • 6-month license
  • 12-month (1-year) license

The license term shall commence from the date of activation unless otherwise specified in writing by StrSof.

6.2 Single-Computer / Node-Locked License

Each license is node-locked and compiled for use on one specific computer only, identified by a unique computer or machine ID provided by you at the time of purchase.

The Software shall not be installed, accessed, or used on any other computer. Any attempt to do so may result in automatic deactivation or termination of the license.

6.3 Transfer & Re-hosting

License transfer to another computer is not permitted except with prior written approval from StrSof and may be subject to additional fees and technical verification.

6.4 Subscription Expiry

Upon expiry of the license term, your right to use the Software shall automatically cease unless the license is renewed. Continued use beyond the license term constitutes unauthorized use.

7. TRIAL / DEMO LICENSE

StrSof may provide free trial or demo versions of the Software for evaluation purposes, typically limited to a 3-day usage period.

Trial versions:

  • Are provided strictly on an “AS IS” basis;
  • May be functionally limited or time-restricted;
  • Shall not be used for commercial, production, or project deliverables;
  • May be revoked or disabled at any time without notice.

8. AUDIT & COMPLIANCE

StrSof reserves the right to verify compliance with this EULA, including license scope and usage restrictions. You agree to cooperate with reasonable audit or verification requests.

If unauthorized use, overuse, or license circumvention is identified, StrSof reserves the right to suspend or terminate the license without refund and to seek appropriate legal remedies.

9. TERMINATION

This EULA is effective until terminated.

StrSof may terminate this EULA immediately if you breach any of its terms. Upon termination, you must cease all use of the Software and destroy all copies in your possession or control.

StrSof may terminate this EULA immediately if you breach any of its terms, misuse the Software, attempt to circumvent license controls, or use the Software beyond the permitted license term.

Upon termination or expiry, you must immediately cease all use of the Software and permanently delete or destroy all copies in your possession or control.

11. GOVERNING LAW & JURISDICTION

This EULA shall be governed by and construed in accordance with the laws of India.

The courts at Hyderabad, Telangana, shall have exclusive jurisdiction over all disputes arising out of or in connection with this EULA. Nothing herein shall prevent StrSof from seeking injunctive relief in any competent court.

13. ENTIRE AGREEMENT

This EULA constitutes the entire agreement between you and StrSof relating to the Software and supersedes all prior agreements or understandings relating thereto. Any amendment must be in writing and signed by StrSof.

 By downloading, installing, or using the Software, you acknowledge that you have read, understood, and agreed to be bound by this EULA.
